Guess & Co. Overview

Guess & Co. Group, Inc. delivers inclusive capitalism to Rural America, neighboring urban communities and select global communities through our core businesses of finance, mining, insurance, agriculture, technology, real estate, energy and health care. Founded by Jerry D. Guess, a successful entrepreneur and businessman, he saw a need to ensure access for rural communities who were dealing with double-digit poverty despite government economic development programs and incentives for them to thrive. He wanted to do something about that. Together with other business professionals, lawyers, retired federal government officials, and retired federal law enforcement, he launched Guess & Co. to focus on revitalizing, developing and serving Rural America as its primary focus.   Guess & Co. commenced operations in August of 2017 through its predecessor entity, Guess & Co. Corporation. Guess & Co. is the only company in the United States that has a business focused on doing this. Our market consists of over 30 states and over 900 counties with a focus on the Midwest. We are based in Leawood, Kansas.

Guess & Co. Group, Inc.  is the parent and holding company. Guess & Co. operates businesses through wholly owned subsidiaries (100.00% ownership). Guess & Co. Corporation Holding Co., Inc. is the sub-parent and intermediate holding company and owns Guess & Co., L.L.C. and Guess & Co. Corporation. Guess & Co., L.L.C. owns our core revenue businesses, while Guess & Co. Corporation owns our non-core revenue businesses and operations businesses that support the company.  Guess & Co. Group, Inc. was formed in October of 2024 and became the new parent company in February of 2025 through a share exchange. Guess & Co. Group, Inc. is authorized to issue 100,000,000 shares of common stock with a par value of one thousand dollars per share ($1,000.00) and 25,000,000 shares of preferred stock with a par value of ten thousand dollars per share ($10,000.00). Guess & Co. Group, Inc. has approximately 173 shareholders with approximately 48,700,956 shares of common stock outstanding as May 15, 2025.
